CRITICAL LIMITATION: To the maximum extent permitted by applicable law, Verdant Path shall not be liable for any damages whatsoever arising from your use of our services.
In no event shall Verdant Path, its directors, officers, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses resulting from your use or inability to use our services.
4.2 Maximum Liability Cap
In jurisdictions where liability limitations are permitted, our total cumulative liability to you for all claims arising from or related to these terms or your use of our services shall not exceed the total amount you have paid to Verdant Path in the twelve months immediately preceding the claim. If you haven't made any payments, our liability shall not exceed $100 USD.

The limitations specified in this section will survive and apply even if any limited remedy specified in these terms is found to have failed its essential purpose. These limitations shall apply to the fullest extent permitted by law.
4.6 Jurisdictional Variations
Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.
5. Governing Law and Dispute Resolution
5.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of the applicable jurisdiction, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
5.2 Dispute Resolution Process
In the event of any dispute, controversy, or claim arising out of or relating to these terms:
- Step 1: Contact us directly to attempt informal resolution through good-faith negotiations
- Step 2: If informal resolution fails within 30 days, both parties agree to attempt mediation
- Step 3: If mediation is unsuccessful, either party may pursue legal remedies in accordance with applicable law
5.3 Jurisdiction and Venue
Subject to the dispute resolution procedures above, you agree that any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the courts of competent jurisdiction, and you consent to the personal jurisdiction of such courts.
5.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Verdant Path.
5.5 Time Limitation on Claims
Any cause of action or claim you may have arising out of or relating to these terms or our services must be commenced within one year after the claim or cause of action arises. Otherwise, such cause of action or claim is permanently barred.
5.6 Attorney Fees
In any dispute arising from these terms, the prevailing party shall be entitled to recover reasonable attorney fees and costs from the other party, to the extent permitted by applicable law.
6. General Provisions
6.1 Entire Agreement

6.7 Relationship of Parties
Nothing in these terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Verdant Path. You have no authority to bind Verdant Path in any manner whatsoever.
